Operating partner · not a check

Build the platform. Keep the equity.

We partner with founder-led operators to build the category leaders of fragmented industries — deploying the M&A engine, capital network, and AI-enabled operating layer we have already proven inside our own portfolio.

The Platform Build(n.)
When a founder-led company becomes the acquirer, not the acquired — assembling a fragmented industry into a category leader, with an operating partner supplying the M&A engine, capital network, and AI layer.

We bring the engine. You drive.

Our economics are shared upside — earned only when the platform grows. Aligned from day one.

How we operate

Proof, not theory.

Most firms pitching AI-era consolidation are selling a thesis. We are executing one. We don't just advise from the outside. Rebel Capital acquired Leadature — an event-technology platform serving enterprise clients across the live events and conference industry. We are deploying our AI-enabled operating layer inside it, rebuilding go-to-market, and compounding the business on our own capital. Not a pilot. Not a side project — the operating model every future partner benefits from.

What we bring

Five things a traditional investor doesn't do.

A Platform Build turns a good, sub-scale company into the leader of its category. Value comes from assembling the right pieces and rebuilding how the business grows — with consolidation (roll-up) as one lever among several.

01

Proprietary deal flow

We find the acquisition targets and building blocks others miss — sourced globally — and help you stack them into a platform. The pieces most first-time builders never see.

02

An M&A engine

A disciplined machine to source, structure, finance and integrate acquisitions — including the debt and seller-note structuring to fund them cheaply — so you actually buy and absorb, not just plan to.

03

A value-creation playbook

We rebuild what scares off capital and stalls growth: financial operations, the fundraising story, a clean cap table, cheaper debt. The packaging and cash-timing work that makes a platform fundable.

04

AI-enabled operations — deployed, not promised

We deploy AI inside portfolio companies to automate the back-office functions that eat margin — engineered to unlock growth from day one and turn a collection of businesses into one intelligent, compounding platform.

05

Access to capital

We don't rely on one balance sheet. We tap a broad network — debt providers, co-investors, family offices and funds (including Notable) — and bring the right money to the right deal, at the right stage.

The Platform Build

We partner early — and structure it around the founder.

We come in early enough to shape the platform, and we take our upside as a flexible mix of equity, warrants, or carry — structured deal by deal in the founder's favour, never for control. Three ways to run a Platform Build:

1

Operating-partner JV

You have a platform and domain expertise. You need the M&A engine and the capital network.

You keep the operating seat; we supply the sourcing engine, deal structuring, value-creation rebuild, and AI deployment. We earn through a deal-specific mix of equity or warrants, plus a self-funding fee.

You bring: product, domain & day-to-day operations.
2

Partner buy-and-build

You are consolidating and maybe have closed an acquisition. You need a partner to accelerate the next five.

You drive from the seat; we source, structure and integrate behind you, and take meaningful equity as the platform compounds. Control and upside stay with you.

You bring: the operating seat & consolidation leadership.
3

Co-build

You have conviction and domain knowledge but have not yet acquired. You want a co-founder for the platform journey, not a consultant.

We bring the thesis, the first targets, the M&A engine, and the AI layer. You bring the domain and operating leadership. We build it together from the first acquisition.

You bring: domain expertise & operating leadership.
What we look for

The clearer the fit, the faster we move.

Our wedge is the first-time and under-equipped builder — the founder or operator with the ambition to build a category leader, but not yet the machine to do it. The cohort a traditional fund is too slow, too late, or too control-hungry to back.

US-primary

UK & Europe considered opportunistically.

A fragmented vertical — no clear leader at scale yet.

A founder who owns the domain — you know the industry better than any investor could.

Category-leader ambition — you want to build the platform, through acquisition, organic growth, or both.

The gap is execution, not vision — you've never bought or integrated a company (or you have, and you're drowning post-close).

Willing to give equity for the machine — not just pay invoices. We win when you win.

Why should I trust Rebel with my company's M&A?+
Because we put our own capital and hands into the Leadature acquisition and are executing this playbook on our own company right now. We are not advising from the outside. We are practitioners in the field.
Is this venture capital or private equity?+
Neither. It's a founder-led buy-and-build — we call it the Platform Build. We're an operating partner: we take our upside in whatever mix of equity, warrants, or carry fits the deal — structured in the founder's favour. You keep control, unlike a buyout, and we're hands-on and long-term, unlike a passive VC check.
Why give up equity instead of just hiring advisors?+
Advisors send invoices and leave. We put our own upside on the line, run the machine deal after deal, and only win when the platform does. The recurring fee is priced to be affordable and self-funding — the real economics live in shared upside.
Isn't "AI rollup" overhyped right now?+
The idea is everywhere; the execution isn't. Most first-time builders have a thesis but no proprietary deal flow, no M&A muscle, no capital network, and no way to grow what they buy. We compete on doing it — and roll-up is just one of the levers a Platform Build uses.
Does the AI replace my team or rewrite my margins?+
No. It kickstarts organic growth — reactivating leads, keeping pipeline moving, surfacing prospects — and gives you portfolio-wide revenue visibility. Margin still comes from a real operational rebuild, not from software alone.
Where does the capital come from?+
From a broad network we bring to the table — debt providers, co-investors, family offices and funds, including Notable. We match the right capital to the deal and stage, so you don't have to build your own investor network to fund the platform.
What do you look for?+
A fragmented vertical with no leader at scale, a founder who owns the domain with category-leader ambition, where the missing piece is the execution engine — and a willingness to share upside. US-primary.
